TERMS AND CONDITIONS OF USE<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Article 1. Purpose <\/strong><\/h1><\/div><\/div>

The purpose of these general terms and conditions is to govern the contractual terms under which the limited liability company EFOLIX S.\u00e0.r.l., established and having its registered office at 5, rue Dr. Herr, L \u2013 9048 Ettelbruck (hereinafter \u201cEFOLIX\u201d), provides its services to Users.<\/p>

EFOLIX provides a digital solution for professionals in the form of a software application.<\/p>

Article 2. Definitions <\/strong><\/p>

In these General Terms, capitalized terms and expressions shall, unless otherwise stated, have the following meanings.<\/p>

User: a natural person and\/or legal entity acting in a professional capacity and using the Software Application.<\/p>

General Terms:<\/strong> This document sets forth the framework contractual terms applicable to the Software Application.<\/p>

Confidential information: means, with respect to a Party, confidential and proprietary information (whether in written, oral, or electronic form) that: (a) is confidential by its nature; and\/or (b) is designated by that Party as confidential; or (c) the other Party knows or ought to know is confidential; and includes, but is not limited to, trade secrets, know-how, inventions, techniques, processes, software programs, and other information technology (IT)-related information, documentation, schematics, procedures, contracts, customer databases, financial information, budgets, sales, marketing, insurance secrets, anti-money laundering and compliance data, ideas, strategies, designs, projections, business plans, unpublished information relating to the intellectual property rights of either party, personal data, and all communications between the parties; <\/p>

Contract:<\/strong> all contractual documents, including the General Terms and any annexes, governing the relationship between the User and EFOLIX in connection with the Software Application provided by EFOLIX.<\/p>

Force majeure<\/strong>: means the actual occurrence of any act or event that is unforeseeable, insurmountable, and beyond the control of the Party invoking it, and that prevents that Party from performing all or part of its obligations. Force majeure does not include events such as the insolvency of a Party, events involving prior, concurrent, or subsequent fault, strikes, or other labor disputes. The Parties shall refer to Luxembourg case law for the interpretation of a possible case of force majeure. <\/p>

Installation:<\/strong> a general term referring to the implementation and testing of hardware and\/or software. Software installation consists solely of loading the software modules onto the hardware in accordance with the installation instructions provided by the software publisher. <\/p>

Software Application<\/strong>: means the software, databases, websites, programs, and\/or any other applications owned and hosted by EFOLIX, including all upgrades thereto, as further described in Annex 1 (Description of Software Application);<\/p>

Parties:<\/strong> EFOLIX and the User.<\/p>

Article 3.<\/strong> Software Application<\/p>

EFOLIX shall provide the Software Application on a secure, remote, and fully operational basis, as detailed in Annex 1 (Description of the Software Application).<\/p>

Article 4.<\/strong> License<\/p>

EFOLIX hereby grants the User a non-exclusive license to use the Software Application through any number of supported web browsers in any location, in accordance with the terms of these General Terms.<\/p>

The Software Applications shall be used by the User in accordance with the terms of these General Terms and in accordance with any specifications set forth by EFOLIX in its documentation, provided that such documentation is made available to the User.<\/p>

The User shall not be entitled to sublicense the Software Application to contractors, clients, or any third party.<\/p>

The User shall not have the right to reverse engineer, decompile, modify, or in any way whatsoever manipulate the source code of the Software Application or any part thereof. The license is provided to the User free of charge. <\/p>

Article 5.<\/strong> Obligations and Liabilities of the Parties<\/p>

EFOLIX undertakes to exercise all due care and diligence necessary to provide a high-quality service in accordance with industry standards and the state of the art, to ensure that the services are performed by qualified and experienced personnel, and to take all reasonable precautions in the performance of the services throughout the contractual relationship. EFOLIX is only liable under an obligation of means. <\/p>

The User assumes full responsibility for the operation, proper functioning, and availability of the Software Application.<\/p>

The User warrants that the hardware installations and all other rules and conditions required for any implementation of the Software Application are carried out in a professional manner and in accordance with the legal provisions and standards to which the User is subject.<\/p>

It is the User\u2019s responsibility to ensure that a backup of its data files, application software, and operating systems\u2014including all configuration files\u2014is made prior to any intervention by EFOLIX, even if EFOLIX has not expressly requested it. If the User fails to comply with this obligation, the User waives EFOLIX\u2019s liability in the event of destruction, inability to use, or loss of data files, application software, operating systems, or any configuration file, or any other damage resulting from unintentional manipulation by EFOLIX, except in cases of gross negligence or willful misconduct on the part of EFOLIX. <\/p>

EFOLIX shall inform the User of any known operational risks arising from its work on the Software Application prior to performing any such work.<\/p>

In the event of gross negligence or willful misconduct on the part of EFOLIX with respect to the Software Application provided by EFOLIX to the User, EFOLIX\u2019s liability shall be limited to the damages directly caused by its gross negligence, and EFOLIX shall in no event be liable for indirect damages.<\/p>

The User agrees to comply with EFOLIX\u2019s specifications regarding the installation, use, configuration, and environment of the Software Application provided by EFOLIX.<\/p>

In the event of an accident occurring during the provision of the Software Application that is not the result of gross negligence, willful misconduct, or fraud on the part of EFOLIX\u2014at any time or for any reason whatsoever\u2014EFOLIX\u2019s liability shall be strictly limited to the damage and loss directly caused by EFOLIX and related to the installed Software Application.<\/p>

Consequently, EFOLIX shall not be held liable for any damage of any kind whatsoever caused to the User\u2019s hardware or Software Application, except in the case of gross negligence or willful misconduct on the part of EFOLIX.<\/p>

As a provider of the Software Application, EFOLIX is not responsible for the content or any information or data hosted by the User on its servers that may violate any legal provision or the rights of third parties.<\/p>

Article 6.<\/strong> Term and Termination<\/p>

The Contract will take effect as soon as the User installs the Software Application. The Contract is entered into for an indefinite period and may be terminated by the User at any time. <\/p>

Article 7.<\/strong> Compensation<\/p>

The User shall indemnify EFOLIX against all losses, claims, costs, liabilities, or expenses (including court costs and attorneys\u2019 fees) actually suffered and incurred by EFOLIX as a result of the User\u2019s fault, negligence, fraud, or breach of any other obligations hereunder.<\/p>

Article 8.<\/strong> Data Protection<\/p>

Each Party shall comply with its obligations under the applicable data protection regulations, and in particular the General Data Protection Regulation (Regulation (EU) 2016\/679\u2014\u201cGDPR\u201d), with respect to personal data processed in connection with the Contract.<\/p>

The User acknowledges that, in connection with the provision of the Software Application, EFOLIX will be required to collect and process the User\u2019s personal data. In these circumstances, EFOLIX acts as a data controller. <\/p>

Details regarding the processing of personal data are included in the \u201cPrivacy Notice,\u201d which can be found here: [link]. The Privacy Notice may be updated from time to time. <\/p>

Article 9.<\/strong> Intellectual Property<\/p>

The User does not acquire any intellectual property rights to the Software Application, nor any rights to the tools, methods, and know-how used by EFOLIX under the terms of the Contract. The User does not acquire any rights other than those granted by the Contract. <\/p>

Consequently, EFOLIX shall remain the owner of all software developments and documentation provided to the User, along with all intellectual property rights associated therewith, in the broadest sense, for the entire duration of the protection to which such software developments and documentation may be subject in all countries where such protection may be obtained.<\/p>

The User shall have only a non-exclusive right to use the Software Application. EFOLIX grants the User only a personal, non-transferable, and non-exclusive right of use. <\/p>

EFOLIX expressly reserves the right to use, exploit, reproduce, display, and market all software developments and all documentation or advice, in any form whatsoever, within the scope of its business activities, in particular to create, develop, exploit, and market any software solution.<\/p>

Article 10<\/strong>. Miscellaneous <\/p>

Severability<\/strong>. In the event that any one or more of the provisions of these General Terms is determined to be invalid, illegal, or unenforceable in any respect with respect to one or more of the parties, all remaining provisions shall nevertheless remain in full force and effect and binding on the Parties thereto, and the validity, legality, and enforceability of such remaining provisions shall not be affected or impaired thereby. If any such provision is held to be illegal, invalid, or unenforceable, a provision as similar in terms to such provision as is possible\u2014and which is legal, valid, and enforceable\u2014shall be deemed to have been added in its place. <\/p>

Entire Agreement<\/strong>. The General Terms, together with its Annexes, constitute the entire agreement and understanding between the Parties with respect to the subject matter hereof and supersede and replace all prior agreements or understandings, whether written or oral, with respect to the same subject matter that are still in effect between the Parties. <\/p>

Force Majeure<\/strong>. Neither Party shall be liable hereunder for any failure or delay in the performance of its obligations hereunder due to events constituting Force Majeure. Upon the occurrence of a Force Majeure event, the non-performing Party shall be excused from any further performance of its obligations affected by the Force Majeure event for up to thirty (30) days. After the expiration of this period, the other Party shall have the right to terminate this Contract with immediate effect. <\/p>

Assignment.<\/strong> The User may not assign this Agreement or any rights or obligations set forth herein.<\/p>

Amendments<\/strong>. These General Terms may not be modified, amended, or altered in any way, except by a written agreement signed by both Parties. <\/p>

Waiver.<\/strong> Under no circumstances shall either Party\u2019s failure to exercise, or any delay in exercising, any right, power, or privilege hereunder be deemed a waiver thereof.<\/p>

Language.<\/strong> The English version of the General Terms shall apply when the language of communication with the User is English.<\/p>

Article 11.<\/strong> Governing Law and Jurisdiction<\/p>

The Contract (and any dispute, controversy, proceeding, or claim of any nature whatsoever arising out of or in any way relating to the Contract) shall be governed exclusively by and construed in all respects in accordance with the laws of Luxembourg.<\/p>

Any dispute, controversy, proceeding, or claim of any nature whatsoever arising out of or in any way relating to the Contract shall be subject to the exclusive jurisdiction of the courts of Luxembourg.<\/p><\/div><\/div>
